SERVICES AGREEMENT

THIS AGREEMENT is made at the time mentioned in the audit trail in the last page.

BETWEEN:

1. [PROFESSIONAL NAME], having office at [Office Address] (hereinafter referred to as the “Professional”, which expression shall include their associates and juniors).

AND

2. [CLIENT NAME], having its residence/registered office at [Address] (hereinafter referred to as the “Client”).

(The Professional and the Client are hereinafter collectively referred to as the “Parties”).

1. SCOPE OF WORK

The Client hereby engages the Professional to provide services as stated in Annexure 1 (“Scope-of-Work”).

2. PROFESSIONAL FEES

In consideration for the services provided, the Client agrees to pay the Professional the fees stated in Annexure 1 (hereinafter referred to as ”Fees”).

It is clarified that Fees include advance payments as stated in Annexure 1 (“Advance Payment”).

The Advance Payment shall be paid within 15 days after the signing of this Agreement. The Professional may not commence the Scope-of-Work until the Advance Payment is paid to the professional.

Fees paid are non-refundable and are meant for professional services rendered. They are exclusive of any taxes (GST) if applicable.

3. EXPENSES AND OUT-OF-POCKET COSTS

In addition to the Fees, the Client agrees to bear all actual expenses incurred during the course of the engagement (“Expenses”), including but not limited to:

Court fees and stamp duty.
Typing, photocopying, and printing charges.
Process fees and courier charges.
Travel and accommodation expenses (if the matter requires travel outside [City]).
Clerkage: A standard clerkage fee of [usually 10%] of the professional fee.

4. DUTIES OF THE CLIENT

The Client agrees to:

Provide all necessary facts, documents, and evidence truthfully and in a timely manner.
Make payments of fees and expenses promptly upon raising of the invoice/memo.
Attend court hearings when personal appearance is mandated by the Court.
Keep the Professional informed of any change in address or contact details.

5. NO GUARANTEE OF OUTCOME

The Professional agrees to use their best professional judgment, skill, and efforts in representing the Client. However, the Client acknowledges that the Professional cannot and has not guaranteed a favorable outcome, as the result of legal proceedings depends on the facts, evidence, and decision of the Hon’ble Court.

6. CONFIDENTIALITY

The Professional shall maintain the confidentiality of all information provided by the Client in accordance with Section 126 of the Indian Evidence Act, 1872. Privileged communication shall not be disclosed to third parties without the Client’s consent, except as required by law.

7. TERMINATION

By Client: The Client may terminate this agreement at any time by giving written notice. However, the Client is liable to pay for all services rendered and expenses incurred up to the date of termination.
By Professional: The Professional may withdraw from the engagement if the Client fails to pay fees, insists on pursuing an illegal course of action, or for other ethical reasons, subject to providing reasonable notice to the Client and obtaining leave of the Court (if required).

8. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by the laws of India. Any disputes arising out of this agreement shall be subject to the exclusive jurisdiction of the courts at [City, State].
